The Winmark Job Board provides organisations with a platform to promote senior executive and leadership opportunities to members of the Winmark community and wider professional network.

Winmark Jobs Board - Terms & Conditions

1. Purpose

The Winmark Jobs Board (“Jobs Board”) is designed to connect members of the Winmark community with relevant career and appointment opportunities.

Opportunities may include:

  • Executive and C-Suite roles
  • Chair and Non-Executive Director (“NED”) appointments
  • Advisory and portfolio roles
  • Interim and fractional executive roles
  • Trustee and governance appointments
  • Other senior leadership opportunities considered relevant to the Winmark community

The Jobs Board is intended to provide a high-quality, trusted environment for sharing opportunities. Winmark is not an employment agency, recruitment consultancy or executive search firm unless expressly agreed otherwise in writing.

2. Who May Use the Jobs Board

Access to the Jobs Board may be made available to:

  • Current Winmark members;
  • Participants or alumni of selected Winmark programmes or Academies;
  • Approved employers, executive search firms and recruitment organisations;
  • Winmark partners; and
  • Other individuals or organisations approved by Winmark.

Winmark may change eligibility or access arrangements at any time.  Access to the Jobs Board is personal and must not be shared with another individual unless Winmark has given permission.

3. Posting an Opportunity

Organisations submitting an opportunity must ensure that:

  • The opportunity is genuine and currently available;
  • They have authority to advertise or represent the opportunity;
  • Information supplied is accurate and not misleading;
  • The role complies with applicable employment, equality, discrimination and data protection laws;
  • Any remuneration information provided is accurate at the time of submission;
  • The identity of the employer or appointing organisation is disclosed to Winmark, even where confidentiality means it is not displayed publicly;
  • Appropriate permission has been obtained for any company names, logos or third-party material included; and
  • Winmark is informed promptly if the opportunity is filled, withdrawn or materially changed.

Winmark reserves the right to approve, reject, edit, categorise, suspend or remove any posting at its discretion.  Winmark may decline opportunities that it considers inappropriate, misleading, insufficiently senior, inconsistent with the interests of members, or potentially damaging to the reputation of Winmark or its community.

4. Standards for Opportunities

The Jobs Board is intended primarily for senior professional opportunities.  Winmark will not knowingly accept postings that:

  • Are unlawful or discriminatory;
  • Are misleading or materially inaccurate;
  • Require applicants to make inappropriate payments;
  • Promote unlawful or unethical activity;
  • Constitute unsolicited marketing rather than a genuine opportunity;
  • Misrepresent the organisation, role, remuneration or appointment process; or
  • Are otherwise inconsistent with the professional standards expected within the Winmark community.

Winmark’s decision on whether an opportunity is suitable for the Jobs Board is final.

5. Applying for Opportunities

Users are responsible for deciding whether an opportunity is appropriate for them and whether to submit an application or expression of interest.  Unless specifically stated otherwise, applications are made directly to the organisation, recruiter or individual responsible for the appointment.  Users are responsible for:

  • Ensuring that information they provide is accurate;
  • Conducting their own due diligence on an organisation and opportunity;
  • Deciding what personal or professional information to disclose;
  • Complying with any confidentiality requirements associated with an opportunity; and
  • Managing their own application, interview, negotiation and appointment process.

An opportunity appearing on the Jobs Board does not constitute a recommendation by Winmark that a user should apply for or accept the role.

6. Winmark’s Role

Winmark provides the Jobs Board as a platform for connecting relevant opportunities with its community.  Unless Winmark expressly agrees otherwise in writing, Winmark:

  • Does not act as the employer;
  • Does not act as the candidate’s agent;
  • Does not conduct formal candidate screening or referencing;
  • Does not guarantee the accuracy of information supplied by third parties;
  • Does not guarantee that an employer will respond to an application;
  • Does not guarantee that a vacancy will remain available;
  • Does not guarantee interviews, appointments or employment outcomes; and
  • Is not responsible for negotiations between candidates and employers.

Any introduction, recommendation or informal comment made by Winmark should not be treated as professional recruitment, legal, financial or employment advice.

7. No Guarantee or Endorsement

Winmark may undertake reasonable checks before publishing an opportunity but cannot independently verify every statement made by an employer, recruiter or candidate.  Publication of an opportunity does not constitute Winmark’s endorsement of:

  • The employer or organisation;
  • The recruiter;
  • The role;
  • The remuneration or terms offered; or
  • Any individual associated with the appointment.

Similarly, access to the Jobs Board or membership of Winmark does not constitute an endorsement of an individual candidate by Winmark.  Employers and candidates should undertake their own appropriate due diligence.

8. Recruitment Firms and Intermediaries

Recruitment, executive search and other intermediary organisations may only use the Jobs Board in accordance with arrangements approved by Winmark.  Unless expressly agreed otherwise, access to the Jobs Board does not give an organisation permission to:

  • Download or build databases of Winmark members;
  • Contact members for unrelated commercial purposes;
  • Market recruitment services directly to members;
  • Reproduce or distribute Winmark member information;
  • Use Winmark branding to imply endorsement or partnership; or
  • Use information obtained through the Jobs Board for purposes unrelated to the specific opportunity.

Winmark may immediately suspend access where these provisions are breached.

9. Confidential Opportunities

Some senior appointments may be confidential.  Where an opportunity is identified as confidential, users must respect any confidentiality requirements associated with it.  Information relating to a confidential appointment must not be forwarded, published, posted on social media or otherwise disclosed without permission from the organisation or individual responsible for the appointment.  Winmark may facilitate confidential introductions without publicly identifying the organisation concerned.

10. Candidate Confidentiality

Winmark recognises that career discussions, particularly at executive and Board level, can be highly confidential.  Where Winmark receives information from an individual concerning their interest in an opportunity, Winmark will not intentionally disclose that interest to an employer or third party except:

  • Where the individual has asked or authorised Winmark to do so;
  • Where disclosure is reasonably necessary to provide a service requested by the individual; or
  • Where disclosure is required by law.

Candidates should nevertheless exercise appropriate judgement when submitting sensitive information to third parties.

11. Data Protection and Privacy

Personal information collected through or in connection with the Jobs Board will be handled in accordance with applicable data protection legislation and Winmark’s Privacy Policy.  Information submitted as part of an application may also be processed by the employer, recruiter or other third party receiving the application. Their own privacy policies and data-handling practices will apply.  Users should review the relevant organisation’s privacy information before providing personal data.  Employers and recruiters receiving candidate information through the Jobs Board must use it only for legitimate recruitment or appointment purposes and in accordance with applicable data protection legislation.

12. Use of Winmark Information

Content and information made available through the Jobs Board is provided for the user’s personal professional use.  Users must not, without Winmark’s prior written permission:

  • Scrape or systematically extract Jobs Board information;
  • Create or sell databases derived from the Jobs Board;
  • Republish opportunities commercially;
  • Use automated tools to harvest information;
  • Use member or candidate information for unsolicited marketing; or
  • Represent themselves as acting on behalf of Winmark.

Winmark may restrict or terminate access where misuse is suspected.

13. Fees

Winmark may provide some Jobs Board services as part of membership and may charge for other services, including enhanced listings, recruitment advertising, introductions or related services.

Any applicable fee will be communicated before the relevant paid service is provided.  Unless otherwise agreed, payment for advertising or other Jobs Board services does not guarantee applications, interviews, appointments or any particular level of response.

14. Appointment and Introduction Fees

Unless expressly agreed in writing before an introduction is made, use of the Jobs Board does not create an obligation for an employer or candidate to pay Winmark an appointment, placement or introduction fee.  Where Winmark provides additional recruitment, search, introduction or advisory services, separate commercial terms may apply and will be agreed in advance.

15. Equality and Inclusion

Winmark supports fair, inclusive and merit-based appointment processes.  Organisations using the Jobs Board are expected to comply with applicable equality and anti-discrimination legislation and to conduct appointment processes in a professional and respectful manner.  Winmark reserves the right to remove postings or restrict organisations that it reasonably believes do not meet these standards.

16. Complaints and Concerns

Users should inform Winmark if they believe:

  • An opportunity is misleading or fraudulent;
  • An organisation is behaving inappropriately;
  • Their information has been misused;
  • A Jobs Board user is conducting unsolicited marketing;
  • A posting may breach applicable law or these terms; or
  • There is another material concern relating to the Jobs Board.

Concerns should be sent to john.jeffcock@winmarkglobal.com.  Winmark may investigate and take any action it considers appropriate, including removing a posting or suspending access.

17. Liability

To the fullest extent permitted by law, Winmark will not be liable for any loss arising from:

  • Reliance on information contained in a Jobs Board posting;
  • An employer’s or recruiter’s actions or omissions;
  • An unsuccessful application;
  • Withdrawal or alteration of an opportunity;
  • Employment, appointment or contractual negotiations;
  • Information provided by a candidate, employer or third party;
  • Decisions made by users based on information obtained through the Jobs Board; or
  • The conduct of an employer, recruiter, candidate or other third party.

Nothing in these terms excludes or limits liability where it would be unlawful to do so.  Users remain responsible for obtaining appropriate professional advice where required.

18. Suspension and Removal

Winmark may suspend or remove an individual’s or organisation’s access to the Jobs Board where it reasonably believes that:

  • These terms have been breached;
  • The Jobs Board is being misused;
  • Members are being subjected to inappropriate solicitation;
  • False or misleading information has been supplied;
  • Conduct may damage Winmark or its community; or
  • Suspension is otherwise necessary to protect members or the integrity of the service.

19. Changes to the Jobs Board

Winmark may change the Jobs Board, its functionality, eligibility requirements, commercial arrangements or these terms from time to time.  Material changes to these terms will be communicated or published as appropriate.  Continued use of the Jobs Board following an update will constitute acceptance of the revised terms.

20. Intellectual Property

The Winmark name, branding, Jobs Board format and Winmark-created content remain the intellectual property of Winmark or its licensors.  No right to use the Winmark name or logo is granted merely because an organisation posts an opportunity or an individual uses the Jobs Board.  Any external use of Winmark branding requires prior written approval.

21. Governing Law

These terms are governed by the laws of England and Wales.  The courts of England and Wales will have jurisdiction in relation to disputes arising from these terms or use of the Jobs Board, subject to any mandatory legal rights that may apply.

22. Acceptance

By accessing, posting on or otherwise using the Winmark Jobs Board, users confirm that they have read and agree to these Terms & Conditions.  Organisations submitting opportunities are also responsible for ensuring that anyone using the Jobs Board on their behalf understands and complies with these terms.
